CCC Intelligent Solutions to Be Acquired by GTCR-Led Consortium in Cash Deal Valuing Company at About $6.1 Billion

Chicago — CCC Intelligent Solutions (Nasdaq: CCCS), the Chicago-based insurance technology company, announced on October 15 that it has entered into a definitive agreement to be acquired by an investor consortium led by private equity firm GTCR, whose members include funds managed by affiliates of Elliott Investment Management. Under the agreement, CCC shareholders will receive $7.75 in cash per share, valuing the company at approximately $6.1 billion in enterprise value.
The $7.75 per-share price represents a premium of about 44% to CCC's closing price on July 9 — the last trading day before media reports of a potential deal — and about 59% to the 30-day volume-weighted average price.
CCC's board of directors has approved the transaction, which is expected to close in the first quarter of 2027, subject to shareholder approval, regulatory clearances and other customary conditions. The deal is not subject to a financing condition. Upon completion, CCC's shares will cease trading on Nasdaq and the company will become privately held.
Founded in 1980, CCC operates a cloud platform for the auto and property insurance industry, connecting more than 35,000 businesses — including insurers, auto repair shops, automakers, parts suppliers and lenders — and processing millions of claims and repairs each year. The company says its platform is powered by super intelligence and four decades of industry data.
"Over the past 40 years, CCC has built a critical platform serving the entire insurance ecosystem," Chairman and CEO Githesh Ramamurthy said in the company's statement, adding that CCC looks forward to partnering with GTCR to accelerate innovation. GTCR is also headquartered in Chicago and invests in growth companies across technology, healthcare and financial services.
