Fox's $22 Billion Acquisition of Roku Wins Both Companies' Shareholder Approval, Still Faces Justice Department Antitrust Review

Fox Corporation and streaming platform Roku held separate special shareholder meetings on Oct. 14, and shareholders of both companies approved Fox's $22 billion acquisition of Roku. Fox's Class B shareholders voted 99.9 percent in favor; Roku shareholders voted 81.5 percent in favor.
The deal is priced at $160 per share, comprising about $14.2 billion in cash plus Fox Class A stock; Fox shareholders will hold about 73 percent of the combined company after closing. The transaction still faces U.S. Justice Department antitrust review; the department issued a second request for information in September, which Fox called completely expected. The companies expect the deal to close in the first half of 2027.
The combined company will bring together Roku's television operating system and the Roku Channel with Fox's free streaming service Tubi to build a larger advertising-supported streaming business. Roku reaches about 100 million streaming households, and Tubi has about 110 million monthly users. Roku founder Anthony Wood will stay on and join the combined company's board. The deal was announced in June.
