Navigator Gas to Seek Shareholder Approval for Redomiciliation to England and Wales

Saturday, October 17, 2026 · Finance · GSM News

LONDON — Navigator Holdings Ltd. (Navigator Gas, NYSE: NVGS) announced on October 16 via GlobeNewswire that on October 8, 2026 it entered into an Agreement and Plan of Merger with its wholly owned English subsidiary Navigator Gas plc (New Parent) and Navigator Gas Merger Co Inc. (Merger Sub). The company will merge into Merger Sub, which survives as a wholly owned subsidiary of New Parent, and each common share will convert into one ordinary share of New Parent. New Parent becomes the publicly traded parent and intends to list its ordinary shares on the New York Stock Exchange under the existing NVGS ticker. The announcement convenes a shareholder meeting to approve the change of domicile from the Marshall Islands to England and Wales.

The company said the redomiciliation aligns its corporate structure with its operating structure, as its executive office, senior management, many employees, lenders and insurers are in the United Kingdom. Benefits cited include the UK legal and governance framework, a competitive and stable tax regime with an extensive double-tax treaty network, and a mature tonnage tax regime for maritime businesses.

Navigator Gas is engaged in the seaborne transportation of liquefied gases. Completion of the redomiciliation is subject to shareholder approval of the merger at the convened meeting.
