Indivior (Nasdaq: INDV) and Supernus Pharmaceuticals (Nasdaq: SUPN) disclosed on October 16 that shareholders of both companies approved their all-stock merger of equals, first announced in August 2026, at special meetings held October 15. Indivior shareholders approved the share-issuance proposal with 85,455,705 votes for, 5,563,744 against and 186,733 abstentions, with 91,206,182 shares represented out of 118,031,934 outstanding at the September 4 record date. Under the merger terms, Supernus holders will receive 1.5401 Indivior shares for each Supernus share, and Indivior holders will receive a one-time special cash dividend of $1.0 billion in aggregate immediately before closing, funded by a $650 million Citibank term loan commitment plus combined-company cash on hand. After closing, Indivior holders are expected to own about 56.5% and Supernus holders about 43.5% of the combined company on a fully diluted basis.

The combined company will be named Supernus, Inc. and trade on Nasdaq under SUPN, with an eight-member board; Jack Khattar is expected to serve as chief executive and Timothy Dec as chief financial officer. The transaction is expected to close on November 2, 2026, subject to remaining conditions including expiration of the HSR waiting period and Nasdaq listing approval, creating a diversified, CNS-focused biopharmaceutical company.
