MIAMI — OPKO Health (Nasdaq: OPK) announced on October 15 that its subsidiary BioReference Health has entered into an asset purchase agreement dated October 14, 2026 to sell its clinical and anatomic pathology laboratory testing business to Laboratory Corporation of America Holdings (Labcorp, NYSE: LH) for $722 million in cash at closing, subject to revenue-based adjustments, plus up to $150 million over up to ten years tied to revenue from the 4Kscore prostate cancer test.

The sale includes the clinical diagnostics, women's health, urology and corrections testing businesses, more than 80 patient service centers, and the FDA-approved 4Kscore test, which generated $27.1 million of revenue in 2025. Labcorp expects the acquired businesses to generate about $250 million of revenue in the first year after closing. The deal has no financing condition and is subject to HSR clearance; the parties may terminate if it has not closed by April 14, 2027, and Labcorp would pay a $28.88 million termination fee if the deal fails in specified antitrust circumstances.

Phillip Frost, M.D., OPKO's chairman and chief executive, said in the release that the sale streamlines operations and focuses resources on the company's biopharmaceutical business, including Rayaldee. Bryan Vaughn, Labcorp's executive vice president and president of Diagnostics, said the transaction expands Labcorp's testing capabilities. OPKO is headquartered in Miami, Florida.
