Iveco Shareholders in Amsterdam Lower Takeover Hurdle for Tata Motors to 80%

Saturday, October 17, 2026 · World News · GSM News

Shareholders of Iveco, the Netherlands-based, Milan-listed commercial vehicle maker, approved a back-end resolution at an extraordinary general meeting in Amsterdam on October 17, reducing the minimum acceptance threshold for Tata Motors' takeover offer to 80 percent and unlocking pre-agreed Dutch restructuring routes.

Unlike passenger vehicle buyouts, heavy commercial acquisitions turn on powertrain technology, emission compliance costs and component economies of scale. Iveco's FPT Industrial operates 16 industrial sites and 22 R&D centres, producing Euro VII, hydrogen internal combustion, biomethane and heavy-duty electric powertrains — securing it would reduce Tata's reliance on third-party licensed technology for next-generation emissions and alternative fuels.

With the governance and threshold hurdles cleared in Amsterdam, closing now rests on the final count of tendered shares. If acceptances cross 80 percent, settlement will trigger the boardroom handover, terminate legacy voting structures and begin Iveco's transition into a privately held asset under Tata Motors.
