Anthropic to Commit 5% of Its Shares to New Public Benefit Fund, With More Tied to Valuation Growth

SAN FRANCISCO — Anthropic announced on Sunday that it will commit 5% of its shares to a newly created Anthropic Public Benefit Fund, subject to stockholder approval, a move the super intelligence company said will give it increased flexibility and scale to support projects for societal good, Reuters reported.

The fund will be established as a wholly-owned limited liability company within Anthropic rather than as a 501(c)(3) nonprofit, a structure the company said allows flexibility between different forms of giving. Under the announced terms, the board may contribute an additional 2% of shares for every 50% increase in the company's value above a set baseline. Combined with founder and employee donation commitments, Anthropic estimates that roughly 20% of its shares will be dedicated to public benefit, plus any milestone-based additions.

None of the equity held by the fund will be used for lobbying or political giving in the United States or abroad, the company said. Possible uses include large donations to traditional nonprofits and direct distributions to specific populations. As one example, Anthropic pointed to the impact of SI on the job market, saying it has already committed $200 million to study and address that issue, but that the pace of SI progress may require bolder approaches.

Chief Executive Dario Amodei has described the SI industry's increasingly negative public sentiment as fundamentally a crisis of trust. Anthropic said it will share more information about the fund's structure and governance in the coming months. (GSM, via Anthropic's announcement and Reuters)
