Alaska State Authority Makes $25 Million Anchor Investment in Microreactor Company: AIDEA Backs NuCube Ahead of Pending Merger

Tuesday, October 20, 2026 · States · GSM News

The Alaska Industrial Development and Export Authority (AIDEA), an independently governed public corporation of the State of Alaska, will make a $25 million direct investment in microreactor company NuCube Energy as the anchor investor in the company's current financing. NuCube announced the investment on October 19 in a GlobeNewswire release issued from Idaho Falls; the agreement was signed the same day. AIDEA was established by the Alaska Legislature in 1967 to provide financing and investment tools supporting economic development, job creation, infrastructure and responsible resource development in the state.

Under the agreement, AIDEA will purchase $25 million of NuCube Class A ordinary shares at $9.25 per share, an approximately 14.5 percent discount to the $10.82 reference price used to determine the exchange ratio in NuCube's business combination with Launch Two Acquisition Corp. (NASDAQ: LPBB), plus one-half of one warrant per share, exercisable at $11.50 within five years. The $25 million will count as transaction financing under the business combination agreement and toward the $75 million minimum cash condition required for closing. NuCube said it intends to use the proceeds to advance development, manufacturing readiness and licensing for its NuSun factory-built microreactor platform.

Governor Mike Dunleavy said in the announcement: 'Alaska has always been a place where innovation is driven by necessity. Advanced nuclear technologies like NuCube's NuSun reactor have the potential to deliver reliable, affordable power and heat to communities and industries where traditional solutions are costly or impractical.' AIDEA Deputy Executive Director Brandon Brefczynski said the authority's role is to help advance projects that create jobs, expand economic opportunities and improve energy reliability without relying on state appropriations. NuCube CEO Cristian Rabiti said AIDEA, as anchor investor, gives the company a solid capital foundation as it continues toward closing its business combination with Launch Two.

The announcement carries forward-looking qualifications: the business combination between NuCube and Launch Two, agreed on June 25, 2026, and amended on October 19, has not yet closed and remains subject to conditions including shareholder approval, effectiveness of the registration statement filed with the SEC, and listing requirements, and it may not be completed on time or at all. Upon closing, the combined company is expected to be listed on Nasdaq. According to the announcement, many Alaska communities and industrial operations rely on costly imported fossil fuel and sit beyond the reach of traditional power infrastructure, the backdrop for the state's support of the microreactor pathway.
