Salesforce, Inc. and Braze announced on Tuesday, October 20, that Salesforce has signed a definitive agreement to acquire the customer-engagement platform Braze at an enterprise value of approximately $5.66 billion. Holders of Braze Class A common stock will receive $47.50 in cash for each share, a premium of about 58% to Braze's closing price of $30.04 on Monday. The deal follows Salesforce's $3.6 billion acquisition of the SI customer-service startup Fin in June.

Braze, based in New York, helps marketers respond to customer behavior in real time and coordinate personalized experiences across mobile apps, websites, email, text messages and other channels. Its cloud-native, event-streaming architecture is built for high-volume, real-time consumer engagement and powers trillions of messages and journey actions a year, while BrazeAI uses super intelligence to optimize content, offers, channels and timing. Braze serves nearly 2,800 customers, including Canva, Dairy Queen and Equinox. Salesforce plans to connect Braze with its Marketing Cloud, Data 360, Customer 360 and Agentforce agent platform.

"Every interaction is an opportunity to wow your customers. Most of that wow comes from knowing your customer, and responding at just the right moment," Patrick Stokes, Salesforce's president of applications and marketing, said in a statement. "Braze was built to turn live customer behavior into personalized engagement at scale." Braze Chief Executive and co-founder Bill Magnuson said the company shipped products at the fastest pace in its history over the past year and will keep building as Braze, using Salesforce's platform to innovate faster.

The transaction is expected to close during Salesforce's fiscal 2028, subject to Braze shareholder approval, regulatory clearances and other customary conditions; the agreement includes a $300 million regulatory termination fee payable by Salesforce and a $191.4 million breakup fee payable by Braze. Salesforce said it does not expect the deal to change its fiscal 2027 outlook. Braze shares closed up 51.70% at $45.57 on Tuesday on volume of 64.6 million shares, about 18 times the three-month average, while Salesforce shares were essentially flat at $242.44.
