Verizon Launches Cash Tender Offers for Five Series of Notes: $500 Million Cap, Expiring November 4

Verizon announced on October 29 cash tender offers for five series of its outstanding notes, covering notes maturing in 2028, 2030, 2040, 2060 and 2061. The offers carry an aggregate purchase cap of $500 million (the "Waterfall Cap"), with three of the longer-dated series also subject to a combined $155 million sub-cap; acceptance follows the priority levels set out in the offer documents on a waterfall basis.
The offers expire at 5:00 p.m. New York City time on November 4, 2026, unless extended or earlier terminated, and tendered notes may be withdrawn at or before expiration. Notes accepted for purchase are expected to settle on November 9, 2026, with holders receiving the total consideration per $1,000 principal amount, to be announced on the price determination date, plus accrued and unpaid interest to the settlement date.
Verizon said pricing will be announced after 2:00 p.m. on November 4 and that the offers are governed by the Offer to Purchase. The company's media contact is Katie Magnotta.
