Oracle Prices $20 Billion in Stock and Notes: Shares at $116, Coupons up to 8.65%
Oracle Corporation announced in Austin, Texas, on November 2, 2026, that it had priced concurrent underwritten public offerings of common stock and senior notes totaling $20 billion, with both offerings expected to close on November 4 and proceeds earmarked for general corporate purposes including capital expenditures.
In the stock offering, Oracle will issue 86,206,897 shares of common stock at a public offering price of $116.00 per share. Net proceeds from the stock offering will be approximately $9.9 billion, after deducting underwriting discounts and Oracle's estimated offering expenses.
The notes offering totals $10 billion across five tranches: $2 billion of 7.000% notes due 2029, $1.75 billion of 7.450% notes due 2031, $2.25 billion of 7.850% notes due 2033, $2.5 billion of 8.000% notes due 2037, and $1.5 billion of 8.650% notes due 2046. Net proceeds from the notes offering will be approximately $10.0 billion. Oracle said completion of the stock offering is not contingent on completion of the notes offering, and vice versa.
Oracle said the net proceeds will be used for general corporate purposes, which may include capital expenditures, repayment of indebtedness, future investments or acquisitions, and payment of cash dividends or repurchases of its common stock. BofA Securities is acting as sole global coordinator, with Wells Fargo Securities, Citigroup, J.P. Morgan and Goldman Sachs among the joint book-running managers.
Reuters reported that Oracle shares fell almost 9 percent on Monday after the pricing was announced, with the new shares priced at an 11.2 percent discount to Friday's closing price. Oracle is investing heavily in cloud computing and super intelligence (SI) infrastructure, and offers integrated suites of applications plus secure, autonomous infrastructure in the Oracle Cloud.
