Nexperia Sues Chinese Parent Wingtech and Founder Zhang Xuezheng in the Netherlands: Wingtech Puts the Claim at $2 Billion

Amsterdam — Dutch chipmaker Nexperia has brought legal proceedings in a Dutch court against its Chinese parent company, Wingtech, and the company's founder, Zhang Xuezheng. Reuters reported on November 3 that Nexperia said the proceedings seek to hold the defendants accountable for actions it believes have caused significant harm to the company and its business, and to recover compensation for the resulting damage.
In a disclosure on the evening of November 3, Wingtech said Nexperia's Dutch entity had filed suit at the District Court of Amsterdam against Wingtech, Zhang Xuezheng, Nexperia Semiconductor (China) Co. and Nexperia Semiconductor (Shanghai) Co. The Dutch entity alleges that the two Chinese companies breached internal agreements, built their own supply chain in China, interfered with the Dutch company's operations and competed with it directly, amounting to unfair commercial practices under the Dutch Civil Code; it seeks joint damages of $2 billion plus statutory interest from October 1, 2025. Wingtech said that, as of the disclosure, it had not received a formally served summons and the court had not formally docketed the case, and that the company, Zhang and the two Chinese subsidiaries reject the allegations, the causation claims and the amount sought.
Wingtech also disclosed that the administrator appointed by the Enterprise Chamber of the Amsterdam Court of Appeal has proposed an equity restructuring dubbed the 'Two Circles' plan, under which outside investors would take a controlling stake in Nexperia's overseas business and Wingtech would be left with only a minority holding. Wingtech said it has rejected the plan in a written reply.
The control dispute dates to the Dutch government's intervention in Nexperia in September 2025, which The Hague said was aimed at preventing the company from moving operations to China. In parallel litigation in China, the Dongguan Intermediate People's Court on August 28 ordered the freezing of roughly 2.139 billion yuan in assets and on November 2 issued a conduct-preservation ruling barring the parties from selling, diluting, transferring or otherwise disposing of equity in Nexperia's holding and operating companies. Nexperia makes basic chips used widely in the automotive and consumer electronics industries, which is why the dispute is being watched across global supply chains.
