Baker Hughes Closes Sale of Waygate Technologies to Hexagon for About $1.45 Billion in Cash

Baker Hughes, the energy technology company headquartered in Houston, Harris County, Texas, announced on November 2 that it has completed the sale of its Waygate Technologies business to Hexagon.
The all-cash transaction is valued at approximately $1.45 billion in pre-tax cash proceeds, before customary closing adjustments. The sale covers Waygate Technologies' remote visual inspection, ultrasound, radiography and imaging solutions portfolios, and all assets of the business, including intellectual property, footprint and resources.
Baker Hughes said the divestiture reinforces its commitment to disciplined portfolio management, enhances the durability of its earnings and cash flow, and further strengthens its balance sheet. Waygate Technologies had been part of the company's industrial inspection technology operations. With the closing, Hexagon takes over Waygate's inspection business and team, while Baker Hughes continues to focus on its core energy technology businesses.
