Marathon Petroleum to Sell Mandan and St. Paul Park Refineries to CVR Energy for $4.2 Billion

Marathon Petroleum Corp. and its midstream affiliate MPLX LP announced on November 3 that they have reached a definitive agreement to sell the St. Paul Park refinery in Minnesota and the Mandan refinery in North Dakota, together with related midstream assets, to CVR Energy for a total purchase price of $4.2 billion, plus inventory value and subject to price adjustments. Marathon Petroleum will receive $3.45 billion for the refining assets, excluding inventory value, and MPLX will receive $750 million for the related midstream assets. The St. Paul Park refinery processes 105,000 barrels of crude per day, and the Mandan refinery 72,000 barrels per day. The companies said the transaction is expected to close by the end of 2026, subject to customary closing conditions including clearance under the Hart-Scott-Rodino Antitrust Improvements Act. The deal directly affects refining capacity and jobs in Mandan and was the day's most substantive economic development in North Dakota.
